Shareholder Activism: what should IROs prepare?

In the midst of the hot discussion of weighted voting rights, and the growing trend of activist shareholder involving in Hong Kong listed companies, to senior executives and IROs, shareholder activism may be a popular topic.
Recently, Chairman Dr. Eva Chan joined Mr. Sherman Yan of ONC Lawyers in an interview on Metro Finance (FM104) to share their observation of recent market trend and discussion in Hong Kong, particularly in the interaction of listed companies and investors. Eva shared, "As mostly the Hong Kong listed companies are family controlled, the management is usually the representative of major shareholders. Nevertheless, under the governance regulation at the moment, retail investors or some call minority shareholders have the same right as major shareholders. Any existing or potential investors can contact the IR officer to learn more about the business strategies and future development."
Eva emphasized, "We encourage communication between investors and the listed company. Through direct conversation and comprehension of company's direction, misunderstandings can be avoided. Engagement and thorough study are important for every investment."

Sherman elaborated, "In the upcoming conference we jointly organized, we have professionals from Europe and US to share their experience from investors and legal perspective, as well as local regulators, listco executives and academia for an all-rounded discussion. We attempt to provoke positive conversation so benefits of various parties could be addressed."

Walking into Stock Connect ListCo
|
|
Introduced in the September newsletter, the Shenzhen Stock Exchange (SZSE), under the support of Hong Kong Exchanges and Clearing Limited (HKEX) and HKIRA, has launched an âInside Stock Connect Companiesâ Open Day program. The first open day was a successful visit to Logan Property (3380.HK).
The program kick-started in October 2017, with 11 companies from the Properties & Construction sector signed up. Over 10,000 votes received from Mainland investors across 5 online platforms. Apart from Logan Property, China Merchants (978.HK) and LVGEM China (95.HK) are selected to be visited in November and December 2017.
On 26 Oct, 35 investors joined representatives of SZSE and HKEX to Logan's headquarter in Shenzhen. Visitors were pleased to have the chance to meet and communicate with the CFO and a Director in person.

Investors were introduced to Logan's latest project in Shenzhen.
